1. Definitions
In these Terms and Conditions:
- "Service" refers to Zephyra's AI-powered financial management platform, including all features, tools, and associated services.
- "User," "You," or "Your" refers to the individual or entity accessing or using our Service.
- "We," "Us," or "Our" refers to Zephyra, a Singapore-registered financial technology service provider.
- "Agreement" means these Terms and Conditions together with our Privacy Policy and Cookie Policy.
- "Account" refers to your user account created to access our Service.
2. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the Service.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements in Singapore to use this Service. By using the Service, you represent and warrant that you meet these requirements.
3. Service Description
Zephyra provides AI-powered financial management services designed to help individuals, businesses, and families track, analyze, and understand their financial patterns. Our Service includes:
- Automatic transaction categorization and pattern recognition
- Financial data aggregation from connected accounts
- Spending analysis and trend visualization
- Monthly reporting and reflection prompts
- Business-specific features for SME Dashboard users
- Multi-user coordination for Family Office users
Service features vary by subscription tier. We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice to users.
4. Account Registration and Security
Account Creation
To use the Service, you must create an account by providing accurate and complete information. You agree to update your account information promptly if it changes.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:
- Use a strong, unique password
- Enable multi-factor authentication when available
- Notify us immediately of any unauthorized access or security breach
- Not share your account credentials with others
Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose security risks to our Service or other users.
5. User Responsibilities
When using the Service, you agree to:
- Provide accurate information when connecting financial accounts
- Use the Service only for lawful purposes
- Comply with all applicable Singapore laws and regulations
- Not attempt to circumvent security measures or access restricted areas
- Not use automated systems to access the Service without authorization
- Not interfere with or disrupt the Service or servers
- Not use the Service to transmit malware or harmful code
- Respect intellectual property rights
6. Financial Account Connections
Our Service allows you to connect your bank accounts and financial platforms through secure, bank-approved API connections. When you authorize these connections, you grant us read-only access to retrieve transaction data and account information.
You acknowledge that:
- We never request or store your banking passwords
- Connections use authentication tokens that can be revoked at any time
- We are not responsible for issues arising from incorrect data provided by financial institutions
- You remain responsible for monitoring your accounts directly with your financial institutions
7. Intellectual Property
Our Intellectual Property
The Service, including its design, features, algorithms, software, text, graphics, and content, is owned by Zephyra and protected by Singapore and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
Your Data
You retain ownership of your financial data and information. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service as described in our Privacy Policy.
Restrictions
You may not copy, modify, distribute, sell, or reverse engineer any part of the Service without our express written permission.
8. Payment Terms
Subscription Fees
The Service is offered on a subscription basis with monthly billing. Current pricing is:
- Personal Budget Companion: SGD 378 per month
- SME Financial Dashboard: SGD 1,388 per month
- Family Office Coordination: SGD 1,888 per month
All fees are stated in Singapore Dollars and include applicable Goods and Services Tax (GST) where required.
Billing and Payment
Subscriptions are billed monthly on the anniversary of your signup date. Payment is due in advance for each billing period. We accept major credit cards and direct bank transfers.
Trial Period
New users receive a 14-day exploration period during which no payment is required. You may cancel during this period without charge.
Refund Policy
If you are dissatisfied with the Service within the first 30 days of paid subscription, you may request a full refund. After 30 days, fees are non-refundable except where required by applicable law.
Subscription Pause
You may pause your subscription for up to 3 months without data loss. During the pause period, no fees are charged and you will not have access to the Service.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for early cancellation within a billing period.
9. Disclaimers
The Service is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that:
- The Service will be uninterrupted or error-free
- Defects will be corrected immediately
- The Service will meet your specific requirements
- AI-generated categorizations and insights will be completely accurate
Financial Advice Disclaimer: Zephyra is not a licensed financial advisor. The Service provides information and tools for financial management but does not constitute financial advice. You should consult qualified professionals for specific financial, tax, or investment advice.
While we strive for accuracy, we are not responsible for errors in data provided by connected financial institutions or for decisions you make based on information from the Service.
10. Limitation of Liability
To the maximum extent permitted by Singapore law, Zephyra shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Financial decisions made based on Service information
- Unauthorized access to your account due to your failure to maintain security
- Issues arising from third-party services or financial institutions
Our total liability for any claims related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Zephyra, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Data Protection and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal and financial data.
We process your data in accordance with Singapore's Personal Data Protection Act (PDPA). All data is stored on Singapore-based servers and subject to Singapore jurisdiction.
13. Service Modifications
We reserve the right to modify or discontinue the Service, temporarily or permanently, with or without notice. We will make reasonable efforts to notify users of significant changes at least 30 days in advance.
We are not liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of Singapore. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.

15. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Zephyra regarding the Service.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not transfer or assign your rights under these Terms without our prior written consent. We may assign our rights to any affiliate or successor.
16. Changes to These Terms
We may update these Terms periodically. Material changes will be communicated to all active users via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
The "Last Updated" and "Effective Date" at the top of this document indicate when the most recent changes were made.
